Commodity brokerage terms and conditions

Terms and Conditions: Payment terms shall be fifteen (15) days from the date of delivery unless alternative payment terms are listed above. Giltner Ag, Inc. DOES NOT RELEASE OWNERSHIP OF THIS PROPERTY UNTIL PAYMENT IS RECEIVED IN FULL and reserves the right to repossess unconsumed product if payment in full is not received within payment terms. Buyer of product is responsible for fire, theft, and rain damage until product is paid for. Buyer may be charged additional fees due to damage of product, and or hauling expenses for return of product if repossession occurs. Buyer shall pay 1.50% per month late payment / interest charge for any purchases not paid within payment terms. Buyer agrees to pay Giltner Ag, Inc. any attorney fees and costs incurred in collecting any amounts due on this account, or to enforce the provisions of this account in any action in Law or equity. Any product test results either listed on the agreement or shared with the Buyer are not guaranteed. No waiver or modification of this agreement shall be valid unless it is in writing and signed. This agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. This agreement supersedes any and all other agreements, whether or not in writing, between the parties with respect to the subject matter hereof. Any notice required hereunder shall be in writing and shall be deemed to have been given when received at the addresses listed. Neither buyer nor seller shall be bound by any understanding, agreement, promise, representations, or stipulation, expressed or implied, not specifically contained herein, and the terms and conditions of this agreement shall remain in full force and effect until duly performed by the parties hereto. The provisions of this agreement shall be binding and inure to the benefit of the heirs, successors, personal representatives and assigns of the parties hereto. The parties agree that they shall sign such other and further documents as may be required to carry into effect the terms and conditions of this agreement. This agreement shall be governed by and interpreted in accordance with the laws of the State of Idaho. The invalidity or unenforceability of any term, phrase, clause, paragraph, restriction, covenant, agreement, or other provision hereof, shall in no way affect the validity or enforcement of the remaining provisions, or any part hereof. This agreement may not be deleted or amended except in writing and signed by all parties.
